We assume that by logging in to TWI's website (incorporating JoinIT®) you have acknowledged and accepted these Terms and Conditions.

1. DEFINITIONS

1.1 In these Conditions:
"our", "we" and "us" means TWI;
"Contract" means the contract between us and you incorporating these Conditions;
TWI's website means this communication media service; "you" means the customer with whom we make this Contract. It includes an employee or any other person who we reasonably believe is acting with your authority or knowledge.
These Terms and Conditions and the documents referred to in them set out the entire agreement between you and us for the provision of the service.

2. THE SERVICE

2.1 TWI's website is an information service provided by TWI under the terms and conditions of this Contract and starting on the date which you are given a user ID and a password.
2.2 It is technically impractical to guarantee to provide TWI's website fault free and we do not do so.
2.3 It is your responsibility to comply with all reasonable instructions we may give relating to TWI's website.
2.4 You are responsible for providing a suitable PC, modem, and any other items of hardware, software and communications or any other equipment necessary to access TWI's website.

3. ACCESS

TWI's website is made up of different areas of content and registration and/or membership status of the user will define which parts of the content will be accessible to them. TWI reserves the right to introduce charges for the website at a future time with due notice. TWI also reserves the right to apply a charge for individual users or to withdraw access rights where excessive use or other abuse of the website is detected.

3.1 TWI and EWI Industrial Member companies

3.1.1 To access TWI's website, you require a valid personal user ID and password.
3.1.2 Official Representatives (ORs) of Industrial Member companies are automatically provided with access to TWI's website following confirmation of their Membership.
3.1.3 Industrial Member companies can take any reasonable number of additional user licences, including the Official Representative's providing unlimited access to TWI's website whilst their company remains in membership. Additional users are required to register to obtain their own personal user ID and password.
3.1.4 Should an Industrial Member resign from membership, all valid licences held by the Member's staff default to non-member status.
3.1.5 All users are responsible for notifying TWI of any changes to their individual or company contact details.

3.2 WJS, Professional Members and non members

3.2.1 To access TWI's website, you require a valid user ID and password.
3.2.2 To obtain a user ID and password non members are required to register. Please follow the instructions on the registration screen. WJS and Professional Members will be automatically registered following confirmation of their Membership application.

3.3 Qualifying members of TWI UK regional technology transfer programmes

3.3.1 To access TWI's website, you require a valid user ID and password.
3.3.2 To obtain a user ID and password non members are required to register. Please follow the instructions on the registration screen.

4. SECURITY

4.1 You are responsible for the security and proper use of your password issued for use with TWI's website and must take all necessary steps to ensure that it is kept confidential and used properly. User IDs and passwords are not transferable. Should you have any reason to believe that the password has become known to an unauthorised person or it is likely to be used in an unauthorised way you should immediately notify us.
4.2 You are responsible for notifying TWI of any changes to user details.
4.3 We will use reasonable endeavours to protect your data against unauthorised access by any third party. You should be aware that Internet systems are not secure. Although the risk of unauthorised access is low, it is recommended that you do not store confidential information when registering. We do not accept liability for loss, corruption or unauthorised use of your confidential information by third parties. TWI's privacy policy is available on its website.

5. USE OF SERVICE

5.1 All information on TWI's website is protected by copyright. No part of our website may be permanently copied or reproduced in any form or reproduced on any other website or stored in or transmitted to or from any electronic or digital form in whole or in part, nor may links in this website be included in any other website without our prior written permission. You may access and download the contents of these pages and store a copy of them on a temporary basis for the sole purpose of viewing those pages. Links within our website may lead to other sites. We do not sponsor, endorse or otherwise approve any information or statements appearing in those sites, nor in sites referred to in or linked to those sites.
5.2 All moral rights and equivalent rights wheresoever arising in the content of this website are hereby asserted and reserved.
5.3 You warrant that you will comply with all consumer and other legislation, instructions or guidelines issued by regulatory authorities, relevant licences and any other codes of practice which are applicable.
5.4 You must not use TWI's website fraudulently or in connection with a criminal offence nor to send, receive, upload, download, use or re-use any information or material which is in breach of copyright, privacy or any other rights, nor in breach of any instructions we have given, nor to cause annoyance, inconvenience or anxiety, nor to send unsolicited advertising or promotional material, other than in accordance with the acceptable use policies of any connected networks and the Internet Standards.
5.5 If anyone other than you uses your password to gain access to TWI's website with or without your knowledge or approval, we can treat the contravention as a breach by you of this Contract and can terminate this Contract or suspend access to TWI's website or any part of it without notice.

6. LIABILITY

6.1 The material contained in this website is for general information purposes only and is not intended to be, nor does it constitute, professional advice. Specific advice should be sought in relation to any given set of circumstances. We accept no liability for the contents of these pages to the extent permitted by law in any jurisdiction that would or could arise from or as a result of reliance on the content of this website. Furthermore, we take no responsibility whatsoever for the contents of websites which link from ot to our website.
6.2 We are not liable to you either in contract, tort (including negligence) or otherwise for loss (whether direct or indirect) of profits, business or anticipated savings, loss or destruction of data or for any indirect or consequential loss whatever.
6.3 TWI's website is under continuous development. We do not accept any liability for the use to which you put any JoinIT service nor for any damage that may ensue from its downloading, uploading or usage.

7. INDEMNITY

7.1 You hereby agree to indemnify and hold us harmless from any loss suffered by us as a result of your breach of the terms and conditions of this Contract. You shall pay all costs, damages, awards, fees (including reasonable legal fees) and judgements awarded against us arising from such a breach.

8. SOFTWARE

8.1 Intellectual property rights in any software, documentation or design supplied by us to you remain our property or that of our licensors.
8.2 Subject to the terms of this Contract, we grant you the non-exclusive right to use such software, documentation or design in connection with the individual website service.
8.3 Without affecting any applicable statutory rights under the Copyright (Computer Program) Regulations 1992, or any enactment thereof, you must not permit, nor may you permit any other person to disassemble, reverse engineer, decompile or in any other way interfere with the software nor copy or modify the software nor create any new software partly or wholly based on the software.
8.4 You must not attempt to transfer or assign the right to use the software.
8.5 We may offer updates or modifications to such software, documentation or designs. Any applicable charges for such updates or modifications will be notified on the individual page of TWI's website or facility screen at the time we make such updates or modifications available.

9. LAW

9.1 This Contract is governed by English Law and you and we submit to the exclusive jurisdiction of the English courts.
